This Agreement is entered into between [Your Name / Business Name] ("Service Provider") and GoldXBull GmbH, a company based in Dresden, Germany ("Client"), and sets out the terms under which the Service Provider will carry out the SEO engagement described in the accepted proposal.
1Scope of Services
The Service Provider will deliver the SEO Foundation & Implementation package as outlined in the accepted proposal, including:
- Technical SEO and Google Search Console setup
- Full-site page title and meta description optimization, prioritized by category and product importance
- Buyback and metal-testing service page optimization
- Maintenance guide and handover documentation
Any additional services are only included if separately agreed in writing and billed as set out in the proposal or a signed addendum to this Agreement.
2Fees & Payment
- Core Package fee: $1,500 USD, covering the scope described in Section 1
- Payment terms: as agreed separately between both parties
- Any add-on services are invoiced separately once agreed
3Timeline
The engagement is expected to be completed within 4 weeks of the Client providing the access and information listed in Section 4, barring delays caused by late approvals, missing access, or changes in scope requested by the Client.
4Client Responsibilities
- Provide timely hosting / CMS access needed for implementation
- Confirm priority categories and products
- Designate a single point of contact for approvals
- Respond to requests for input or sign-off within a reasonable time
5Confidentiality & Data Privacy
This section governs how the Service Provider handles the Client's information, files, and system access, and is a central part of this Agreement.
- Any access granted to the Client's website, hosting, CMS, Search Console, analytics, or business systems will be used strictly for performing the services described in this Agreement, and for no other purpose.
- All files, product data, pricing information, business documents, login credentials, and any other materials shared by the Client ("Client Data") will be treated as strictly confidential and will not be disclosed, sold, shared, or used for any purpose outside this engagement.
- Access credentials will be stored securely and only for as long as needed to complete the engagement, after which they will be revoked or deleted at the Client's request.
- Upon completion of the engagement, or upon request at any time, the Service Provider will delete or return all Client files, data, and access credentials still in their possession, except where a copy must be retained briefly for invoicing or legal record-keeping.
- The Service Provider will not disclose the existence, terms, or content of this Agreement, or any details of the Client's business, pricing, or systems, to any third party without the Client's written consent.
- These confidentiality obligations survive the completion or termination of this Agreement.
6Ownership of Work
All page content, metadata, and documentation created for the Client under this Agreement become the property of the Client upon full payment. The Service Provider retains no ownership claim over the Client's website, products, or business information at any point.
7Term & Termination
- Either party may terminate this Agreement with written notice if the other party fails to meet its obligations
- The Client remains responsible for payment for work completed up to the date of termination
- Sections 5 (Confidentiality & Data Privacy) and 6 (Ownership of Work) survive termination of this Agreement
8Limitation of Liability
The Service Provider will perform the services with reasonable skill and care, but does not guarantee specific search engine rankings, traffic outcomes, or sales results, as these depend on factors outside the Service Provider's control. The Service Provider's total liability under this Agreement is limited to the amount paid by the Client for the services in question.
9Signatures
By signing below, both parties agree to the terms of this Agreement.
